Vocert Terms of Service (v1)

Vocert is operated by Vanillapha Inc. ("Vocert", "we", "us"). By creating an account or using Vocert you agree to these Terms of Service.
1. What Vocert is — and is not
Vocert helps you record, transcribe, and review conversations you take part in, and surfaces AI-generated "Highlights" — observations with timestamps about statements that *may* be legally relevant.
- No legal advice. Vocert does not provide legal advice, case evaluation, or statute citations as conclusions. Nothing in the app is a legal conclusion.
- No attorney-client relationship. Using Vocert does not create an attorney-client relationship with us or anyone else.
- AI may err. Highlights are AI-generated triage. They may be wrong, incomplete, or mislabeled. Always verify against the audio and consult a licensed lawyer in your jurisdiction.
2. Eligibility
You must be able to form a binding contract in your jurisdiction and meet the minimum age required by local law (and in any case be at least 16). Vocert is not intended for children.
3. Your responsibility for lawful recording
- You are solely responsible for recording lawfully. Recording laws differ by jurisdiction (one-party consent, all-party consent, and stricter regimes). The app surfaces the applicable consent regime for the jurisdiction you select and requires acknowledgments; it never tells you a recording is "legal".
- You must only record conversations you take part in, and you must comply with all laws that apply to you and the people you record.
4. Prohibited uses
You must not use Vocert for:
- covert surveillance of others or recording conversations you are not a party to;
- stalking, harassment, or intimidation;
- blackmail, extortion, or coercion;
- any unlawful purpose.
We may suspend or terminate accounts used for prohibited purposes.
5. Subscriptions & billing
Vocert offers a free tier and optional auto-renewable subscriptions (and consumable add-ons) purchased through your Apple Account.
- Auto-renewal. Paid plans renew automatically each period, and your Apple Account is charged at the then-current price, unless you cancel at least 24 hours before the end of the current period.
- Manage & cancel. You can view, change, or cancel a subscription anytime in iOS Settings → your Apple Account → Subscriptions. Cancelling stops future renewals; paid access continues until the end of the current period.
- Payment & refunds. All purchases are processed by Apple under Apple's terms. We do not receive your payment-card details and generally cannot issue refunds; refund requests are handled by Apple.
- Allowance. Paid plans include a monthly allowance of cloud-transcription minutes; the free tier includes a smaller daily on-device allowance. Recording stops when your remaining allowance is reached.
- Deleting your account does not cancel a subscription — cancel it in Settings first.
6. Evidence integrity — honest limits
Vocert hashes each audio chunk on your device, chains those hashes into a manifest, and returns a server-signed receipt. This proves the audio has not changed since it was hashed; it does not prove who recorded it, where, or that the capture itself was authentic. The server's received-at time is the strong timestamp.
- No admissibility warranty. We make no warranty that any recording, transcript, Highlight, or export will be admissible or persuasive in any court or proceeding.
7. Data processing
- For voices of third parties in your recordings, you are the data controller; we process that audio on your instructions to provide the service.
- We use sub-processors for speech-to-text and AI analysis (listed in the Privacy Policy). Only transcript text — never your identity or the audio — is sent to the AI analysis provider.
- You can delete recordings and your account in the app. Deleted recordings are hard-deleted; a tombstoned integrity record (hashes only, no content) is retained.
8. Indemnification
You agree to indemnify and hold us harmless from claims arising out of your recordings, your use of the service, or your breach of these terms, including claims by people you recorded.
9. Disclaimers and liability
The service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, our total liability is limited to the amount you paid us in the twelve months before the claim.
10. Governing law & disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules, and you submit to the courts located in Ontario, Canada. Nothing here removes mandatory consumer-protection rights you have under the laws of your country of residence.
11. Changes
We version these terms. When the version changes you must accept the new version before starting new recordings or analyses; uploads already in flight may finish.
